Affiliate Program Terms and Conditions
1. Introduction and acceptance
1.1. These Affiliate Program Terms and Conditions (the “Terms“) are the general rules that apply to everyone who promotes the products of our brands as an affiliate, publisher, influencer, agency or other partner (the “Program“). The Program is operated by the company that owns the brand and product you promote (the “Company“, “we”, “us”). The relevant Company is the one indicated on the product’s website or in our confirmation email.
1.2. How to participate. If you wish to promote any of our products, contact us at [email protected] and indicate the product or brand you are interested in, your channels and audience, and the promotional methods you plan to use. These Terms apply to you (the “Affiliate“, “you”) as soon as we confirm your participation in writing (including by email) or you start promoting our products through an Affiliate Link, whichever comes first.
1.3. These Terms are not individually negotiated or signed. For a specific product or campaign, we may agree the commercial details (commission, territory, traffic sources, budget) with you by email, through the tracking platform or in a separate insertion order (together, the “Campaign Terms“). If Campaign Terms conflict with these Terms, the Campaign Terms prevail only for the commercial details they expressly cover. The content and legal compliance rules in Section 3 always apply and cannot be waived.
1.4. No click-through or online terms of the Affiliate or of any network modify these Terms unless the Company has agreed to them in writing.
Definitions
| Term | Meaning |
|---|---|
| Affiliate Link | The unique tracking link, code or coupon the Company assigns to you to identify customers you refer. |
| Content | Any advertisement, post, video, article, email, landing page, review, comment or other material that refers to the Company, its brands or products, whether created by you or provided by us. |
| Qualified Action | A purchase (or other action defined in your Campaign Terms) made through your Affiliate Link that meets all conditions in Section 4. |
| Commission | The amount payable to you for a Qualified Action, as set out in your Affiliate account or Campaign Terms. |
| Approved Materials | Logos, images, product descriptions, claims and other materials the Company provides or approves in writing for use in Content. |
| Sub-affiliate | Any third party (publisher, influencer, media buyer, agency, network) you engage to perform any part of the Program. |
| Applicable Laws | All laws, regulations, regulatory guidance and platform rules that apply to the Content, the audience and the place where Content is shown. |
2. Enrollment and eligibility
2.1. When you contact us, and at any time during your participation, you must provide accurate, complete and up-to-date information: legal name, company code or ID, address, tax details, payment details, all websites, social media accounts and other channels where you will promote our products, and the traffic sources and promotional methods you will use. You must update this information promptly when it changes.
2.2. We decide at our sole discretion whether to accept you for a particular product and may decline or end participation for any reason. Acceptance for one product does not mean acceptance for others. We may request additional information at any time, including examples of planned Content and details of Sub-affiliates.
2.3. You must be at least 18 years old and legally able to enter into binding contracts. You represent that you hold all licenses, registrations and permits required for your activities.
2.4. You represent that you, your owners and your Sub-affiliates are not subject to sanctions of the EU, the UN, the United Kingdom or the United States, and are not owned or controlled by a sanctioned person. You must notify us immediately if this changes.
2.5. You may engage Sub-affiliates only with our prior written approval. You remain fully responsible for their compliance with these Terms, and every obligation in these Terms applies to them as if they were you.
2.6. You act as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, franchise or employment relationship. You may not make any statement, offer or commitment on our behalf, or present yourself as the Company, its employee or its official representative.
3. Content standards and legal compliance
All Content must be truthful, accurate, substantiated and lawful in every market where it is shown. This Section is the core of the Program: a breach of it is a material breach of these Terms (Section 7).
3.1. Compliance with laws and platform rules
3.1.1. You must comply with all Applicable Laws, including, as relevant to the audience: the US Federal Trade Commission Act (Section 5), the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255), the FTC Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465), the Restore Online Shoppers’ Confidence Act (ROSCA), state consumer protection and automatic renewal laws, the CAN-SPAM Act and the TCPA; in the EU and UK, the Unfair Commercial Practices Directive, Regulation (EC) No 1924/2006 on nutrition and health claims, the GDPR, the ePrivacy rules and national advertising laws; and the advertising policies of every platform you use (Meta, Google, TikTok, YouTube, Amazon and others).
3.1.2. Where Applicable Laws, platform rules and these Terms differ, the strictest requirement applies.
3.2. Truthful and substantiated claims
3.2.1. You may make claims about our products only if they appear in Approved Materials, and only in the wording and context approved. You may not create, extend, combine or strengthen claims.
3.2.2. Our products are not medicines or medical devices unless we state otherwise in writing. You must not state or imply that any product:
- diagnoses, treats, cures, mitigates or prevents any disease or medical condition (for example diabetes, obesity, anxiety, insomnia, hair loss disorders, cardiovascular or digestive diseases);
- replaces medication, a doctor’s advice or medical treatment;
- guarantees a specific result, a result within a specific time, or a specific amount of weight loss;
- is “clinically proven”, “doctor-recommended”, “FDA-approved” or “scientifically proven”, unless that exact statement appears in Approved Materials.
3.2.3. You must not present results as typical unless they are. Any statement about results, numbers, studies or ratings must match the source we provide.
3.3. Endorsements, reviews and testimonials
3.3.1. Any endorsement must reflect your honest opinion and real experience. If you say you used a product, you must have actually used it.
3.3.2. You must not create, buy, write or publish fake, incentivised but undisclosed, or AI-generated reviews or testimonials, and must not suppress negative reviews.
3.3.3. You must not use the name, title, image or likeness of any doctor, healthcare professional, scientist or expert, or present any person as one (including by white coats, stethoscopes, “MD”, “Dr.” or similar), unless we have provided that material with written confirmation that the person has consented. In the EU and UK, health claims referring to recommendations of individual doctors or health professionals are prohibited altogether.
3.3.4. You must not use AI-generated, stock or edited images of people to present them as real customers, experts or results, including “before and after” images, unless we have provided them as Approved Materials with the required disclosures.
3.3.5. You must not use celebrity names or images, news-site formats or fake editorial or “advertorial” pages that suggest independent journalism, unless we approve them in writing and they are clearly labelled as advertising.
3.4. Disclosure of the affiliate relationship
3.4.1. Every piece of Content must clearly and conspicuously disclose that you are paid or receive a commission, in a way the audience will notice and understand before engaging (for example “#ad”, “Paid partnership”, “I earn a commission if you buy through this link”). Disclosures must appear in the post or video itself, not only in a profile, link or “more” section, and must use the platform’s paid-partnership tools where available.
3.4.2. You must clearly present yourself as independent from the Company and must not imply that your website, page or account is operated by us.
3.5. Prices, offers and subscriptions
3.5.1. You may state prices, discounts and offers only as shown in Approved Materials or on our website at the time of publication. You are responsible for keeping them up to date.
3.5.2. If a product is sold as a subscription or includes a trial or introductory price, you must not hide or misrepresent this. You must not describe a product as “free” or a “one-time purchase” if the customer will be charged later, and must not make claims about cancellation that differ from our terms.
3.5.3. You must not offer cashback, rewards, gifts or your own discount codes, or promote coupons not issued to you, without our prior written approval.
3.6. Prohibited practices and content
You must not:
- bid on, register or use our trademarks, brand names or their misspellings (alone or with other words) as keywords, domain names, social media handles, app names or display URLs, unless we have approved this in writing;
- send unsolicited emails, SMS or messages, or post links on forums, groups or comment sections that do not allow commercial content;
- use cookie stuffing, forced clicks, iframes, pop-ups, adware, toolbars or any method that sets a tracking cookie without a genuine click, or overwrites another affiliate’s tracking;
- use bots, click farms, emulators, incentivised traffic, self-referrals or purchases through your own Affiliate Link;
- use link cloaking to hide traffic sources not disclosed in your account;
- place Content on or next to material that is adult, violent, hateful, discriminatory, illegal, infringing, misleading or politically or religiously extremist;
- target or address Content to persons under 18;
- copy, alter or create materials that imitate our websites, packaging or official communications, or impersonate the Company;
- use Content that disparages competitors or makes comparative claims not provided in Approved Materials.
3.7. Pre-approval of Content
3.7.1. Unless we agree otherwise in writing, you must submit all Content you create (including scripts, landing pages, emails, videos and ad copy) for approval at least 3 business days before publication, and publish only the approved version. Changes after approval require new approval.
3.7.2. Our approval does not relieve you of responsibility for compliance with these Terms and Applicable Laws, including for changes you make and for the context in which Content is shown.
3.7.3. If we ask you to correct, pause or remove any Content, you must do so within 24 hours, or immediately if we indicate a legal or regulatory risk.
4. Tracking, commissions and payments
4.1. Tracking. Qualified Actions are tracked through tracking platform, e.g. Everflow using server-to-server (S2S) integration and cookies with a 30-day attribution window. The last valid click through an Affiliate Link before the purchase wins. Our tracking records are final, save for manifest error. Any other tracking method (such as a pixel) requires our written approval and, where personal data is processed, a data processing agreement.
4.2. Qualified Action. An action qualifies for Commission only if all the following are met:
- it was made through your Affiliate Link by a genuine new customer, not by you, your household or your Sub-affiliates;
- it complies with these Terms, your Campaign Terms and Applicable Laws, and no fraud, abuse or prohibited practice was involved;
- it was not cancelled, refunded or charged back within the holding period of 60 days;
- it relates to a product and territory included in your Campaign Terms or account.
4.3. Commission. The Commission rate or amount is stated in your Affiliate account or Campaign Terms. Unless stated otherwise, Commission is paid on the first purchase only, excluding taxes, shipping, renewals, upsells and refunds. We may change the Commission structure for future Qualified Actions with at least 7 days’ notice; changes do not apply retroactively.
4.4. Statements and disputes. We make the monthly statement of Qualified Actions available within 14 days after the end of each month. If you disagree, you must notify us in writing with reasons within 7 business days; otherwise the statement is final.
4.5. Payment. We pay approved Commission within 30 days after the end of the month in which the holding period ends, once your balance reaches at least USD 100, to the payment details in your account. Where required, you must issue a valid invoice. We are not responsible for payments lost due to incorrect payment details you provided.
4.6. Refunds, chargebacks and clawback. If a Qualified Action is later refunded, cancelled, charged back or found to be fraudulent, we may deduct the corresponding Commission from future payments or require you to repay it within 14 days.
4.7. Withholding. If we reasonably suspect fraud, a breach of Section 3 or an unusually high rate of refunds, chargebacks or complaints, we may suspend your account and withhold payments for up to 180 days while we investigate. Commission for actions generated in breach of these Terms is not payable.
4.8. Taxes. You are solely responsible for all taxes, social security contributions and reporting obligations relating to your Commission. All amounts include any applicable taxes unless VAT is required by law to be added.
5. Intellectual property and brand use
5.1. We grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable license to use our trademarks, logos and Approved Materials solely to promote our products under these Terms, for as long as you participate in the Program.
5.2. You must use Approved Materials as provided. You may adapt their size or format to fit a platform, but must not change their meaning, claims, prices, disclaimers or trademark notices. If you modify Approved Materials or create your own Content, you are fully responsible for its compliance.
5.3. You must not register or use any domain name, company name, social media account, app or trademark that contains or is confusingly similar to our trademarks or brand names.
5.4. You grant us a worldwide, royalty-free, perpetual licence to use, reproduce, edit and publish the Content you create under the Program (including your name and likeness as shown in it) for our marketing, compliance and record-keeping purposes, unless your Campaign Terms provide otherwise. You confirm that you hold all rights and consents needed for this, including from any person appearing in the Content and any music, images or footage used.
5.5. All rights not expressly granted remain with us. Our name, logos and product names remain our property or that of our group companies.
6. Data protection and email, SMS and messaging marketing
6.1. Each party is an independent controller of the personal data it collects. You must process personal data in compliance with the GDPR, the CCPA/CPRA and other applicable privacy laws, maintain a privacy notice and cookie consent mechanism on your channels where required, and implement appropriate technical and organisational security measures.
6.2. You may send email, SMS, push or messenger communications promoting our products only to recipients who have given valid, specific and documented prior consent to receive such communications, including about third-party products where required. Every message must identify you as the sender, include a working unsubscribe or opt-out mechanism, and honour opt-outs promptly. You must keep evidence of consent (logs, opt-in records, co-registration flows) and provide it to us within 5 business days on request.
6.3. You must not send SMS or make calls using automated systems or pre-recorded messages without the prior express written consent required by the TCPA and similar laws.
6.4. We will not share customer personal data with you, except as strictly necessary to resolve fraud or tracking disputes and only in aggregated or pseudonymised form where possible.
6.5. You must notify us without undue delay, and in any event within 48 hours, of any personal data breach or regulatory inquiry that relates to the Program.
7. Monitoring, breaches, term and termination
7.1. Monitoring. We may at any time review your websites, accounts, Content, traffic sources and Sub-affiliates, including by test purchases and third-party monitoring tools. You must cooperate and provide requested information within [5] business days.
7.2. Consequences of a breach. Depending on the seriousness of the breach, we may take one or more of the following measures:
| Breach | Measures we may take |
|---|---|
| Minor breach (for example a missing disclosure, outdated price) | Written warning and a deadline of 24–72 hours to correct |
| Repeated or uncorrected breach | Suspension of the account, withholding of Commission for the affected period, removal of Content |
| Material breach: prohibited claims (Section 3.2), fake or doctor endorsements (Section 3.3), fraud, spam, brand bidding, unlawful data use | Immediate termination, forfeiture of all unpaid Commission, clawback of Commission paid for affected actions, recovery of our losses |
7.3. Term. These Terms apply from your acceptance until termination.
7.4. Termination. You may terminate your participation at any time on 5 business days’ written notice. We may terminate on 5 days’ notice without giving a reason, or immediately in case of a material breach, a sanctions event, reputational risk to the Company or circumstances that would have led us to reject your application.
7.5. After termination. Within 3 business days you must stop using our trademarks and Approved Materials, remove all Affiliate Links and Content referring to the Company where you control them, and stop presenting yourself as our affiliate. Commission earned before termination in compliance with these Terms is paid in the normal payment cycle after the holding period. Inactive accounts with no Qualified Actions for 6 months may be closed, and unpaid balances older than 24 months expire.
8. Liability, indemnity, confidentiality and general provisions
8.1. Your responsibility. You are solely responsible for all Content you or your Sub-affiliates create, modify or publish, for the traffic sources and methods used, and for compliance with Section 3 and Section 6.
8.2. Indemnity. You will indemnify and hold harmless the Company, its group companies and their directors, employees and agents from all claims, fines, penalties, damages, losses and costs (including reasonable legal fees) arising from your or your Sub-affiliates’ breach of these Terms or Applicable Laws, your Content, or any claim that your Content infringes third-party rights.
8.3. Limitation of our liability. To the extent permitted by law, the Program is provided “as is”, we do not guarantee any level of sales or earnings, and our total liability to you is limited to the Commission paid or payable to you in the 3 months before the claim. We are not liable for indirect or consequential losses, lost profits or tracking interruptions outside our reasonable control. Nothing limits liability that cannot be limited by law.
8.4. Confidentiality. You must keep confidential all non-public information you receive from us (including commission rates, Campaign Terms, performance data, product plans and Approved Materials before publication) during your participation and for 3 years after, and use it only for the Program.
8.5. Changes to these Terms. We may amend these Terms by publishing a new version on this page and notifying you by email or in your Affiliate account at least 10 days before the change takes effect, unless the change is required by law or a regulator, in which case it may apply immediately. If you do not agree, you may terminate before the change takes effect; continued participation means acceptance.
8.6. Assignment. You may not assign or transfer your rights or obligations without our prior written consent. We may assign these Terms to any group company or successor.
8.7. Governing law and disputes. These Terms are governed by the laws of the Republic of Lithuania. Disputes that cannot be resolved by negotiation are settled by the competent courts of Vilnius, Lithuania, unless mandatory law provides otherwise.
8.8. Miscellaneous. If any provision is found invalid, the remaining provisions remain in force. Our failure to enforce a right is not a waiver. These Terms, together with your Campaign Terms and the documents referred to in Section 1.2, constitute the entire agreement on the Program. The English version prevails over any translation.
8.9. Contact. Requests to join the Program, questions about these Terms and requests for Content approval: [email protected]. Please indicate the product or brand concerned.
